Terms of Service

Welcome to Lesuto. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Lesuto Technologies, Inc., a Delaware corporation with its principal office at 600 Congress Ave, STE 1400, Austin, TX 78701 ("Lesuto," "we," "us," or "our"). By accessing or using our platform, website, applications, or any services provided by Lesuto (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By creating an account, accessing, or otherwise using the Services, you affirm that you are at least eighteen (18) years of age and possess the legal authority to enter into these Terms. If you are using the Services on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" shall refer to that entity. If you do not agree with any provision of these Terms, you must immediately discontinue use of the Services.

2. Eligibility

The Services are available to individuals who are at least eighteen (18) years of age and to businesses that are validly organized and in good standing under the laws of their jurisdiction of formation. By using the Services, you represent and warrant that you meet these eligibility requirements. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion if we reasonably believe that you do not meet these requirements or have violated these Terms.

3. Account Registration

To access certain features of the Services, you must create an account. When registering, you agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at legal@lesuto.com if you become aware of any unauthorized use of your account or any other breach of security. Lesuto shall not be liable for any loss or damage arising from your failure to comply with this section.

4. Merchant Responsibilities

If you register as a Merchant on the Lesuto platform, you agree to the following obligations:

• You shall operate your storefront in compliance with all applicable local, state, national, and international laws and regulations.
• You shall not misrepresent products, pricing, or availability to customers.
• You are responsible for all content displayed on your storefront, including product descriptions, images, and promotional materials obtained from suppliers.
• You shall respond to customer inquiries and support requests in a timely and professional manner.
• You acknowledge that your promotional discounts may not exceed your commission percentage. Promotions that violate this restriction may be automatically disabled by the platform.
• You shall not engage in any activity that undermines the integrity of the marketplace or harms other participants in the Lesuto network.

5. Supplier Responsibilities

If you register as a Supplier on the Lesuto platform, you agree to the following obligations:

• You shall provide accurate and complete product listings, including descriptions, pricing, images, and inventory availability.
• You are solely responsible for the quality, safety, and legality of products you list on the platform.
• You shall fulfill orders promptly and provide valid tracking information for all shipments.
• You shall honor your stated return policy and process returns and refunds in accordance with these Terms and applicable law.
• You shall maintain adequate inventory levels to fulfill orders placed through merchant storefronts.
• You shall comply with all applicable product safety regulations, labeling requirements, and export controls.

6. Commission Structure and Payment Terms

The Lesuto platform operates on a three-way commission model. When a customer completes a purchase on a merchant's storefront, the transaction revenue is allocated as follows:

• Merchant Commission: A percentage of the sale as determined by the supplier's commission rate settings. This is the merchant's earning for facilitating the sale.
• Platform Fee: Lesuto retains an adjustable platform fee (approximately 10%, which includes credit card processing fees of approximately 3%). The platform fee may be adjusted at Lesuto's discretion with reasonable advance notice.
• Supplier Revenue: The supplier receives the remaining balance after the merchant commission and platform fee are deducted.

Payouts are processed via Stripe Connect or Wise (depending on country). Funds are held until the applicable return window expires, after which they become eligible for automated release. Lesuto reserves the right to withhold payouts in the event of suspected fraud, chargebacks, or violations of these Terms. All amounts are denominated in United States Dollars (USD) unless otherwise specified. You are responsible for all taxes applicable to your earnings.

7. Aura Credits

"Aura" is a non-transferable, in-platform credit used within the Lesuto platform for livestream gifting and related engagement features. Aura is not money, not a currency, not a security, and has no cash value. By acquiring or using Aura, you agree to the following terms:

7.1 Nature of Aura

Aura is a digital token with no cash value, no monetary equivalent, and no value outside of the Lesuto platform. Aura is not a currency, financial instrument, security, or stored-value product under any applicable law. Aura cannot be redeemed for cash, gift cards, or any form of monetary value by customers. Aura is non-transferable between users except through the platform's designated gifting features during livestreams.

7.2 Acquiring Aura

Aura may be acquired through: (a) in-app purchases via Apple App Store or Google Play Store, subject to each store's terms and pricing; (b) web-based purchases via Stripe; or (c) as earned rewards through the Lesuto loyalty program based on qualifying platform purchases. All Aura purchases are final, non-refundable, and non-exchangeable, except as required by applicable law or app store policies.

7.3 Using Aura

Aura may only be used to send virtual gifts to creators during livestreams on the Lesuto platform. Sending a gift is a voluntary, non-reversible action. Aura spent on gifts is permanently consumed and cannot be recovered.

7.4 Creator Earnings from Aura Gifts

When a creator receives Aura through livestream gifts, they may: (a) withdraw the equivalent value as a service payment to their connected payout account (Stripe Connect or Wise), subject to minimum withdrawal thresholds and applicable platform fees; or (b) convert Aura earnings to platform store credit at a bonus rate. Creator withdrawals are service payments from Lesuto to the creator for content creation services rendered, not currency exchanges or money transfers. Creators are solely responsible for all taxes applicable to their earnings.

7.5 Aura Economy Controls

Lesuto reserves the right to: (a) modify Aura earn rates, gift prices, platform share percentages, store credit bonus multipliers, and minimum withdrawal thresholds at any time with reasonable notice; (b) suspend or terminate Aura features for any user who violates these Terms; (c) void Aura balances obtained through fraud, exploits, or Terms violations; and (d) discontinue the Aura program entirely with thirty (30) days' notice, during which time users may spend remaining Aura balances.

7.6 No Money Transmission

Lesuto does not act as a money transmitter, money services business, or financial institution. The sale of Aura constitutes a license to use digital content within the platform. Creator payouts are service payments for content creation, not transfers of customer funds. Lesuto does not hold, transmit, or exchange money on behalf of users.

8. Intellectual Property and User Content

The Lesuto platform, including but not limited to its software, design, text, graphics, logos, trademarks, service marks, and all other content and materials (collectively, "Lesuto Content"), is the exclusive property of Lesuto Technologies, Inc. or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes, subject to these Terms. You shall not copy, modify, distribute, sell, lease, or create derivative works based upon the Lesuto Content without our prior written consent.

Your User Content. "User Content" means any content you upload, publish, transmit, or otherwise make available through the Services, including (without limitation) videos and Reels (Scenes), Stories, Posts, livestreams, voiceovers, music or audio you supply, photographs, product images, product descriptions, store assets, comments, reviews, and Q&A. You retain ownership of your User Content. You grant Lesuto a worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to host, store, cache, reproduce, transcode, modify (for technical reasons such as resizing, watermarking, format conversion, and audio replacement), publicly display, publicly perform, distribute, and otherwise use your User Content in connection with operating, providing, and promoting the Services and any successor services, including in marketing materials and on third-party platforms where Lesuto promotes the Services. This license survives termination of your account with respect to copies that Lesuto has shared with third parties or that exist in backups, search indexes, and required regulatory records.

Your representations regarding User Content. You represent and warrant that (a) you own all User Content you submit, or have all necessary rights, licenses, consents, and permissions to submit it and to grant the license above, including with respect to any music, sound recording, voice, image, trademark, name, or likeness; (b) your User Content does not and will not infringe, misappropriate, or violate any third party's intellectual property, privacy, publicity, or other rights, or any law; and (c) you will not use the Services to upload commercial music, film, television, or other recordings that you have not licensed for the use you are making of them. The Lesuto in-app music library and any AI-generated audio provided through the Services are licensed to you for use solely within the Services (and any derivative renders Lesuto produces on your behalf, such as shareable watermarked videos).

Copyright complaints; repeat infringers. Lesuto complies with the Digital Millennium Copyright Act, 17 U.S.C. § 512. Notices of alleged infringement, counter-notifications, our designated agent, and our repeat infringer policy are described in the DMCA Policy, which is incorporated into these Terms by reference. Three substantiated copyright strikes within any rolling 12-month period will result in permanent termination of your account.

9. Prohibited Activities

You agree not to engage in any of the following activities while using the Services:

• Violating any applicable law, regulation, or third-party rights.
• Using the Services for any fraudulent, deceptive, or misleading purpose.
• Uploading, transmitting, or distributing any malware, viruses, or other harmful code.
• Attempting to gain unauthorized access to any part of the Services, other accounts, or computer systems or networks connected to the Services.
• Interfering with or disrupting the integrity or performance of the Services or the data contained therein.
• Scraping, data mining, or using automated means to access the Services without our express written permission.
• Engaging in price manipulation, fake reviews, artificial order volume, or any other scheme to game the commission or payout system.
• Selling counterfeit, stolen, or illegally obtained goods.
• Harassing, threatening, or intimidating other users of the platform.
• Circumventing or attempting to circumvent any security features, access controls, or usage limits of the Services.
• Exploiting bugs, automated scripts, or other means to acquire Aura without legitimate payment or qualifying purchases.
• Selling, trading, or transferring Aura or Aura-funded accounts outside of the platform's designated features.

10. Termination

We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice, at our sole discretion. Without limiting the foregoing, we may suspend or terminate your account if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or pose a risk to the platform, other users, or third parties.

You may terminate your account at any time by contacting us at legal@lesuto.com. Upon termination, your right to use the Services will immediately cease. Any outstanding payouts will be processed in accordance with our standard payout schedule, less any amounts owed to Lesuto or subject to dispute. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitation of liability, indemnification, and dispute resolution.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. LESUTO SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LESUTO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LESUTO TECHNOLOGIES, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF LESUTO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL LESUTO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO LESUTO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

13. Indemnification

You agree to indemnify, defend, and hold harmless Lesuto Technologies, Inc. and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content you upload, publish, or otherwise make available through the Services.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Travis County, Texas. You hereby consent to the personal jurisdiction of such courts and waive any objection to the laying of venue therein.

15. Dispute Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at legal@lesuto.com. We will attempt to resolve the dispute informally within sixty (60) days. If the dispute is not resolved within that period, either party may proceed with formal legal action as described in Section 14.

For disputes involving amounts less than $10,000, you agree that the dispute shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Austin, Texas, and the arbitrator's decision shall be final and binding. You agree that any arbitration shall be conducted on an individual basis, and class arbitrations and class actions are not permitted.

16. Changes to These Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will provide notice by posting the updated Terms on the platform and updating the "Last Updated" date at the top of this page. We may also notify you via email or through a notification within the Services. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.

17. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and any other policies referenced herein, constitute the entire agreement between you and Lesuto with respect to the Services and supersede all prior or contemporaneous agreements, understandings, and communications.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. The failure of Lesuto to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Lesuto may assign these Terms without restriction.

Force Majeure. Lesuto shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, or internet or infrastructure failures.
