These Seller Referral Program Terms ("Program Terms") are between Lesuto Technologies, Inc., a Texas corporation, with its principal office at 600 Congress Ave, STE 1400, Austin, TX 78701 ("Lesuto"), and the business that accepts them for one of its Stores ("Referrer," "you"). They govern the Lesuto Seller Referral Program (the "Program"). They supplement the Platform Terms of Service and your Merchant Agreement or Marketplace Supplier Agreement. Capitalized terms not defined here have the meaning given in those documents.
Joining the Program is optional. You join for one Store at a time: a person with authority to bind that Store accepts these Program Terms for it. Your Referral Code and Referral Link are shown, and Credit accrues, only while that Store's acceptance is in effect.
2.1 Referrers. To join, your Store must: (a) be a merchant or supplier Store operated on Lesuto's own platform, not a Store operated through a white-label or tenant platform; (b) be in good standing, with no suspension in effect; and (c) be operated by a business, or by an individual who is at least 18 years old or the age of legal majority where they live, whichever is higher.
2.2 Referred Sellers. A Referred Seller must be a business that: (a) signs up for a new merchant or supplier Store on Lesuto's own platform, not on a white-label or tenant platform; (b) did not already operate a Store, and was not already in the process of signing up, when it used your Referral Code; and (c) is not you, a member of your Team, or a business under common ownership or control with you.
2.3 Lesuto personnel. Lesuto's employees and contractors, and their households, may not earn Credit.
2.4 Where the Program is offered. The Program is void where prohibited or restricted by law. Lesuto may limit the Program to particular countries or regions by notice in the Platform. A Referral made from or into a place where the Program is not offered earns no Credit.
3.1 Your code and link. After your Store accepts these Program Terms, the Platform shows your Referral Code and a Referral Link. The link carries your code and source tags that record where the sign-up came from (for example, the app or page you shared it from).
3.2 Attribution. A Referral is attributed to your Store only if the Referred Seller enters your Referral Code, or opens your Referral Link, when it signs up. A code cannot be added after sign-up. Each Referred Seller can have only one Referrer: the valid code present at sign-up controls.
3.3 What Lesuto records. For each sign-up with a Referral Code, Lesuto records the code, the source tags, the sign-up date, and the result of the eligibility checks in Section 2. Lesuto rejects a sign-up that fails those checks, including a self-referral, a Team referral, an unknown code, or a white-label Store on either side.
3.4 Lesuto's records control. Lesuto's records decide whether a Referral was made and attributed, unless they contain a clear error. If you believe a Referral or a Credit amount is missing or wrong, tell Lesuto within 90 days of the sign-up or of the end of the month the amount is shown for, with supporting detail.
3.5 Referral limit. The Program Schedule sets how many Referrals per Store can earn Credit in a rolling 12-month period. Referrals beyond that number are still attributed to you, and the Referred Seller still receives its benefits under Section 6, but those Referrals earn you no Credit.
The values below are set by Lesuto and can change only as described in Section 12. Each Referral is governed by the Program Schedule in force on the date its Referred Seller signed up ("its Schedule"). A later Program Schedule never changes an existing Referral's Referral Pool, Earning Window, or Credit Cap. When Lesuto has announced a change, the announced Program Schedule and the date it takes effect are shown after the one in force. Your Referrals page shows each Referral's Credit Cap and the date its Earning Window ends, and Lesuto will send you an earlier Program Schedule on request.
Schedule version: 1, in force from November 5, 2026.
5.1 Which sales count. A Referral earns Credit on a Settled Sale Line when: (a) the supplier or the merchant on that line is the Referral's Referred Seller; (b) the order was placed during the Referral's Earning Window; (c) the Referral is in effect and not over the limit in Section 3.5; and (d) the order was placed on or after the later of the date the Program began (the date Program Schedule version 1 took effect) and the date your Store first accepted these Program Terms. A line on an order placed during the Earning Window counts when it settles, even if it settles after the window ends. Credit is never recorded for orders placed before the date in item (d).
5.2 Referral Pool and split. For each such line, the Referral Pool is the percentage of the Platform Fee on that line set by the Program Schedule, rounded down to the smallest currency unit. The Referral Pool is divided equally among the distinct Referrers whose Referred Seller is the supplier or the merchant on that line (the "Eligible Referrers"), and each share is rounded down. A Referrer counts once per line, even if it referred both the supplier and the merchant. If the Eligible Referrers' Referrals are governed by different Schedules, the lowest Referral Pool percentage among them applies to the line. Lesuto keeps rounding remainders.
5.3 Credit Cap. The Credit a Referral earns over its life, net of reversals, cannot exceed its Credit Cap. Shares above the cap are not recorded.
5.4 Excluded lines. A Referrer earns nothing on a line where the buyer is linked to that Referrer: the buyer's account, or the buyer's email address, belongs to a member of the Referrer's Team. A Referrer also earns nothing on a line in a currency other than the Credit currency in its Schedule. An excluded Referrer still counts as an Eligible Referrer when the Referral Pool is divided, and its share is not paid to anyone.
5.5 Reversals. If a line that earned Credit is refunded, returned, charged back, or cancelled, in whole or in part, or the Platform Fee on it is otherwise reduced, Lesuto reverses the Credit attributable to the reduction, in proportion to the amount refunded or reduced, whenever it happens, including after the Earning Window has ended. A reversal never takes a Referral's net Credit below zero. A reversal Lesuto makes under Section 9.3(c) is final when made: if the line it relates to is later refunded, returned, charged back, or cancelled, or the Referral is voided, the Referral's Credit for that line becomes zero, and nothing further is reversed or carried forward against Credit you earn later. Any part of a reversal that would take a Referral below zero is waived, not carried forward. If a reversed line is later restored (for example, when a chargeback is decided in the seller's favour), the Credit it earns again is reduced by any part of its reversal that was waived, so the same Credit is never earned twice. If the Credit has already been used, a reversal can make your Credit balance negative. A negative balance is only ever offset against Credit you earn later. Lesuto never collects it in money, charges it to a card, or deducts it from payouts or other amounts owed to you, and it is written off if your Store leaves the Program or closes.
5.6 Acceptance in effect. Credit is recorded for a Referral only while your Store has accepted a version of these Program Terms that showed that Referral's Schedule or a later one, and has not revoked that acceptance. While that is not the case, no Credit is recorded for the Referral, the Referral still counts as an Eligible Referrer when the Referral Pool is divided under Section 5.2, and its share is not paid to anyone. Once your Store accepts a version that covers the Referral, Lesuto records the Credit for the Referral's lines that settled in the meantime, as long as they were placed during its Earning Window and meet Section 5.1(d).
5.7 Your statement. The Platform shows your Credit balance and each use of Credit, and for each Referral the Credit earned and reversed in each calendar month, with the schedule version used. It does not show Credit per sale. Lesuto calculates Credit automatically and may correct an amount that was recorded in error.
5.8 Referrals made before the Program began. A referral made under Lesuto's earlier seller referral offer before the Program began keeps the AI credit reward of that offer. It earns no Credit under these Program Terms, and no Credit is recorded for any sale made before the Program began.
6.1 Referred Supplier promotional fee. A Referred Supplier pays the promotional Platform Fee rate set by its Schedule, instead of the standard Platform Fee in its Marketplace Supplier Agreement, on its sales until either the sales threshold or the number of days in its Schedule is reached, whichever comes first. Days run from sign-up. Sales are the customer price of the Referred Supplier's order lines, excluding tax and shipping, net of refunds, returns, and cancellations by the amount refunded, returned, or cancelled, and count when the order is placed. If a line crosses the threshold, only the part below the threshold is charged at the promotional rate. An order already charged is not re-priced when an earlier order is later refunded, returned, or cancelled; the room that frees up under the threshold applies to later orders. Afterwards the standard Platform Fee applies, and Section 6.4 of the Marketplace Supplier Agreement governs later fee changes. A Referred Supplier can see its promotional rate, sales to date, and end date in the Platform.
6.2 Referred Merchant welcome credits. A Referred Merchant receives the number of AI credits set by its Schedule once, at sign-up. They are subject to the terms of the Referred Merchant's subscription plan, have no cash value, and do not change the Referred Merchant's commission.
6.3 Limits. The benefits in this Section apply once per business, only to the Store that signed up with the Referral Code, and cannot be transferred. They are not available to a sign-up that Lesuto rejects under Section 3.3 or voids under Section 9.
7.1 No cash value. Credit is a promotional account credit. It has no cash value and cannot be redeemed, withdrawn, or paid out for money. It is not a payout, commission, wage, deposit, stored value, gift card, or property of any kind, it earns no interest, and Lesuto does not hold funds for it.
7.2 Not transferable. Credit belongs to the business that operates your Store. It cannot be sold, transferred, assigned, pledged, or moved to another Store or account, including on a sale of your business, unless Lesuto agrees in writing.
7.3 Using Credit. Your Store can use Credit only to: (a) pay invoices for its Lesuto paid subscription plan and add-ons; and (b) buy AI credit packs, at the conversion rate in the Program Schedule in force when you convert. The conversion rate applies to all Credit, whichever Referral earned it. Credit cannot be applied to Platform Fees, commissions, or any other amount, and it is never converted into cash or a payout. Lesuto will give at least 30 days' notice through the Platform or by email before it adds or withdraws a use of Credit. A reduction of the conversion rate is a Program Schedule change under Section 12.1.
7.4 Expiry and forfeiture. Credit does not expire while your Store is active and in good standing. Unused Credit is forfeited when: (a) your Store closes, or its Merchant Agreement or Marketplace Supplier Agreement ends; (b) Lesuto terminates your participation for a breach of Section 9 or Section 10; or (c) the Credit was recorded through fraud or error. If Lesuto ends the Program under Section 12.3, your Credit remains usable for at least 90 days after the end date, under the uses then announced.
You are responsible for any taxes that apply to Credit you earn or use. Lesuto may ask you for tax information (such as Form W-9 or Form W-8) before Credit can be applied, may report the value of Credit to tax authorities where the law requires, and may withhold or adjust Credit where the law requires withholding.
9.1 Prohibited conduct. You may not: (a) refer yourself, a member of your Team, or a business under common ownership or control with you, or create or use accounts to do so; (b) place, buy, or arrange orders from your Referred Sellers, directly or through others, to generate Credit; (c) offer cash, rebates, or other value to buyers or to Referred Sellers for signing up or ordering, beyond the benefits in Section 6; (d) submit false information, or sign-ups that are not real businesses intending to sell on the Platform; (e) use automated means, bots, or scripts to create sign-ups or orders; or (f) use your Referral Code on coupon, deal, or cash-back sites, or in paid search advertising, without Lesuto's written consent.
9.2 Lesuto's checks. To enforce this Section and Section 2, Lesuto may compare account, Team, contact, device, network, payment, and order information across the Stores and buyers involved, including to find linked accounts. Section 11 describes this processing.
9.3 Lesuto's rights. If Lesuto reasonably believes a Referral, sign-up, order, or Credit amount involves a breach of these Program Terms, fraud, or abuse, Lesuto may: (a) hold Credit while it reviews; (b) void the Referral; (c) reverse Credit already recorded, whether or not it has been used; (d) end the Referred Seller's other benefits under Section 6 where the Referred Seller took part; and (e) suspend or end your participation. Lesuto will tell you what it did and why, unless the law prohibits it or telling you would create a risk of harm, and you may respond within 14 days to appeals@lesuto.com. A person at Lesuto reviews each response.
9.4 Effect of voiding a Referral. A voided Referral earns nothing further, and the Credit recorded for it is reversed under Section 5.5. It still counts as an Eligible Referrer when a Referral Pool is divided, so its share of past and future Referral Pools is forfeited and is not paid to other Referrers. If the Referred Seller is a Referred Supplier, its promotional fee under Section 6.1 ends permanently.
9.5 Other rights. These rights are in addition to Lesuto's rights under the Platform Terms of Service and your Merchant or Supplier Agreement.
10.1 Disclose your connection. Whenever you share your Referral Code or Referral Link, or recommend Lesuto while doing so, you must clearly and conspicuously disclose that you may earn Credit if someone signs up, close to the recommendation and in the same language and medium. Examples: "I may earn credit if you sign up with my link" or "#ad, referral link". You must comply with the U.S. Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255) and the equivalent rules where your audience is located. The Platform suggests a disclosure in its share sheet, but you remain responsible for including an adequate one.
10.2 No unlawful messages. You may share your Referral Code only in ways that comply with the law, including the CAN-SPAM Act, the Telephone Consumer Protection Act, Canada's Anti-Spam Legislation, and the electronic marketing laws of the recipient's location. In particular, you will not: (a) send messages to people who have not agreed to receive them where consent is required; (b) use purchased, rented, or scraped contact lists; (c) send automated calls or texts without the consent the law requires; or (d) fail to identify yourself or to honor an opt-out. The Acceptable Use Policy also applies.
10.3 Truthful claims. You will describe the Program and the Platform accurately. You will not: (a) state benefits, fees, or numbers other than those in the current Program Schedule; (b) make claims about income or results a Referred Seller can expect; (c) suggest that you are Lesuto, or are employed by, partnered with, or endorsed by Lesuto; or (d) make any false, misleading, or unsubstantiated claim.
10.4 Lesuto trademarks. While you are in the Program, Lesuto grants you a limited, non-exclusive, non-transferable, revocable license to use the Lesuto name, and logos Lesuto provides for the Program, only to share your Referral Code and Referral Link, in line with Lesuto's trademark guidelines at https://www.lesuto.com/legal/trademarks. You may not: (a) alter Lesuto's marks; (b) register or use a domain name, social media handle, or app name that contains them; (c) bid on them as search advertising keywords; or (d) create advertising or pages that appear to come from Lesuto. The license ends when your participation ends.
10.5 Independent parties. You take part in the Program as an independent business. You are not Lesuto's agent, employee, partner, or representative, and you may not make commitments for Lesuto.
10.6 Responsibility for your promotion. Your indemnity under the Platform Terms of Service, and under your Merchant or Supplier Agreement, covers third-party claims arising from how you promote your Referral Code, including a breach of this Section.
Lesuto processes referral data as described in its Privacy Policy, including the Referral Code, source tags, sign-up dates, the eligibility and linked-account checks in Sections 2 and 9, and the Credit recorded for each Referral.
What you see about a Referred Seller. For each Referral, the Platform shows you the Referred Seller's business name, whether it is a merchant or supplier, the Referral's status, its sign-up date, the date its Earning Window ends, its Credit Cap, and the Credit it has earned for you as monthly totals, never per sale. Monthly totals can indicate the general level of a Referred Seller's sales. You do not see the Referred Seller's customers, orders, order numbers, products, sale amounts, fees, payouts, or contact details through the Program, and you may use what you see only to take part in the Program.
What the Referred Seller is told. At sign-up, the Referred Seller is told that it is signing up with a Referral Code and that its Referrer will see the information above.
12.1 Schedule changes. Lesuto may change the Program Schedule. Each change publishes a new version of these Program Terms showing the new Program Schedule, and Lesuto notifies you through the Platform or by email. A change applies only to Referrals whose Referred Seller signs up on or after the date it takes effect, except that the AI credit pack conversion rate applies to all conversions from that date. No change reduces Credit already recorded or changes the Schedule of an existing Referral.
(a) Favourable-only changes. A change is favourable-only when, compared value by value with the Program Schedule your Store last accepted, no value is worse for you or for the sellers you refer: the Referral Pool, Credit Cap, Earning Window, Referred Merchant welcome credits, referral limit, and AI credit pack conversion rate are the same or higher, and the Credit currency and the Referred Supplier promotional fee, threshold, and days are unchanged. Lesuto decides this by comparing the values, not by describing the change. A favourable-only change may take effect when it is published. Your Store's existing acceptance carries forward to it, and your Referral Code and Referral Link stay available.
(b) Other changes. Lesuto publishes any other change at least 30 days before the date it takes effect. Your Store must accept the new version before your Referral Code and Referral Link are shown again, and accepting it also covers the new Program Schedule once it takes effect. Until your Store accepts, Section 5.6 applies to Referrals made under the new Program Schedule.
12.2 Changes to these Program Terms. Lesuto will give at least 30 days' notice of a material change to these Program Terms (other than the Program Schedule) through the Platform or by email. A change applies only from the date it takes effect and does not reduce Credit already recorded. Your Store's continued acceptance is recorded when it accepts the new version.
12.3 Suspension or end. Lesuto may suspend or end the Program, in whole or in a region, on at least 30 days' notice through the Platform or by email, or sooner where the law requires it or to stop fraud. After the end date stated in the notice, no new Referrals are made and no further Credit accrues. Credit recorded before the end date remains subject to Section 7.
12.4 Leaving the Program. You may leave at any time by revoking your Store's acceptance in the Platform (Account, then My Compliance). Your Referral Code and Referral Link stop working for new sign-ups and no further Credit accrues while your acceptance is revoked. Leaving does not forfeit Credit already recorded while your Store remains active.
The Program is provided as described in these Program Terms. Lesuto does not promise that any Referral will produce sales or Credit. The disclaimers and limitation of liability in the Platform Terms of Service apply to the Program. Lesuto's only obligation for Credit that was wrongly withheld or reversed is to record that Credit.
These Program Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of laws principles. Disputes about the Program are resolved under the dispute resolution section of the Platform Terms of Service that applies to Business Users, including its venue and jury waiver, after the notice period in Section 3.4 where it applies.
If these Program Terms conflict with the Platform Terms of Service, your Merchant Agreement, or your Marketplace Supplier Agreement on a Program matter, these Program Terms control for that matter. An Executed Agreement that addresses referral rewards controls over these Program Terms. Assignment, severability, waiver, and notices are governed by the Platform Terms of Service.

Read this before you click. This document is executed electronically. No paper counterpart and no handwritten signature will be collected.
By clicking "I Agree" (or any equivalently labelled control) in the Lesuto Command Center, Lesuto Hub, or Lesuto Seller, you, [Accepting User], acting under channel [Channel Code] on [Acceptance Date]:
(a) acknowledge that this document, version [Document Version], was made available to you in full before you accepted, and that you were able to read, print, download, and take independent legal advice on it;
(b) agree to be bound by this document on behalf of [Company Name], and represent and warrant that you are authorised to bind that entity;
(c) consent to transact business with Lesuto by electronic means and to receive contracts, notices, and disclosures electronically rather than on paper; and
(d) adopt the click as your signature.
Legal effect. The parties intend this electronic acceptance to be a signed writing. Under the United States Electronic Signatures in Global and National Commerce Act (15 U.S.C. sections 7001 to 7031, the "ESIGN Act") and the Uniform Electronic Transactions Act ("UETA") as enacted in Texas (Texas Business and Commerce Code chapter 322), an electronic signature and an electronic record have the same legal force and effect as a handwritten signature on paper. Neither party will contest the validity, admissibility, or enforceability of this document, or of the acceptance record described in Appendix B, on the ground that it was accepted electronically, that it bears no handwritten signature, or that it is not an original writing.
Hardware and software you need. To view and retain this document you need a current web browser or the Lesuto mobile app, an internet connection, an active Lesuto account, and the ability to print or store a PDF or HTML file. If you cannot meet these requirements, do not click "I Agree"; write to legal@lesuto.com instead.
Withdrawing consent. You may withdraw your consent to transact electronically by writing to legal@lesuto.com. Withdrawal operates prospectively only. It does not unwind this acceptance, and it does not discharge any obligation that has already accrued. Because Lesuto operates no paper contracting channel, withdrawing consent may require Lesuto to suspend the access or services this document governs.
Retrieving what you accepted. The version you accepted, and the date you accepted it, remain available to you at any time from Legal and Compliance in the dashboard. You may also request a copy from legal@lesuto.com at no charge.
Later versions. Lesuto may publish a new version of this document. When the version string changes, the dashboard marks this document as requiring re-acceptance and tells you which version you previously accepted. A later version does not retroactively displace the version you accepted; your earlier acceptance stays on record exactly as made.
This appendix describes how Lesuto records and proves your acceptance. It is a statement of Lesuto's logging practice and part of the record of this document. It grants no rights and creates no obligation beyond the body of this document.
Document code. seller-referral-program
What is captured when you click. Accepting this document writes a row to the Lesuto agreement acceptance ledger containing:
| Field | Recorded value |
|---|---|
| Document code | The stable identifier of this document |
| Document version | The exact version string presented to you and accepted |
| Content fingerprint | The SHA-256 hash of the exact document text you accepted |
| User identity | Your authenticated Lesuto user ID |
| Acting entity | The channel code, and where applicable the tenant or customer record, the acceptance was made under |
| Timestamp | Server-side date and time of the click |
| IP address | Originating client IP, read from the gateway forwarding header |
| Device and client | The user agent string presented by your browser or app |
Captured server-side. The timestamp, IP address, and user agent are recorded by Lesuto's servers from the request that carried your acceptance. They are not read from form input, so the accepting party cannot alter them.
Where the record lives. The current acceptance is held in the agreement_acceptance ledger, one row per user per document. Before any row is overwritten by a re-acceptance, the superseding write copies the prior row, including its version, timestamp, IP address, and user agent, into the append-only agreement_acceptance_history table. The history table is never updated or deleted in the ordinary course, so the full chain of every version you accepted survives.
Erasure requests. If you exercise a right of erasure, Lesuto removes the IP address and user agent from these records but retains the document code, version, user identity, and timestamp. Those four fields are the evidence that a binding agreement was formed, and Lesuto retains them on the basis of its legitimate interest in establishing and defending legal claims, and where applicable to comply with a legal obligation.
Version integrity. The version string in the ledger is copied from the document that was rendered to you, not supplied by the client. If Lesuto publishes new text, it publishes it under a new version string, so a stored acceptance always points at the wording that was actually on screen.
Producing the record. To obtain a certified copy of your acceptance record, including the document text as it stood at the version you accepted, write to legal@lesuto.com.
