Merchant Agreement

This Merchant Agreement ("Agreement") is entered into between Lesuto Technologies, Inc., a Delaware corporation ("Lesuto," "we," "us") and the merchant entity accepting these terms ("Merchant," "you," "your"). By creating a merchant account on the Lesuto platform, you agree to be bound by this Agreement.

1. Platform Services

Lesuto provides a multi-channel commerce platform that enables Merchants to create storefronts, manage inventory, process orders, and reach customers. Services may be accessed through the Lesuto platform directly or through authorized platform partners ("Platform Operators") who operate white-labeled versions of the platform. Regardless of branded access, Lesuto Technologies, Inc. remains the merchant of record for all transactions.

2. Merchant Obligations

As a Merchant, you agree to:

• Provide accurate and complete product descriptions, pricing, and availability information
• Fulfill orders within the timeframes specified in your shipping settings
• Respond to customer inquiries within 48 business hours
• Comply with all applicable consumer protection laws and regulations
• Maintain accurate inventory levels to prevent overselling
• Process returns and refunds in accordance with your stated return policy
• Not list prohibited items as defined in our Acceptable Use Policy

3. Payment Processing & Merchant of Record

Lesuto acts as the merchant of record for all customer transactions. This means:

• Lesuto processes all customer payments through our payment processor (Stripe)
• Lesuto handles all refund processing and chargeback disputes
• Customer credit card statements will show "Lesuto" or the designated statement descriptor
• Lesuto is responsible for PCI-DSS compliance and payment security
• Lesuto collects and remits applicable sales tax where required by law

4. Commission & Fees

Lesuto retains a platform fee on each transaction as specified in your subscription plan. Commission rates may be configured by the Platform Operator through which you access the Services. The specific rates applicable to your account are displayed in your merchant dashboard under Settings > Billing. Lesuto reserves the right to modify commission rates with 30 days written notice. Subscription plans (Free, Lite, Starter, Growth, and Pro) are billed separately from transaction commissions; see our Pricing page for current list prices.

5. Payouts

Merchant payouts are processed after the applicable return window has closed (default: 14 days from delivery). Payouts are made via Stripe Connect or Wise, depending on your configured payout method. Minimum payout threshold and frequency are as specified in your account settings. Lesuto reserves the right to withhold payouts in cases of suspected fraud, excessive chargebacks, or policy violations.

6. Product Content License

By listing products on the platform, you grant Lesuto a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute your product images, descriptions, and related content for the purpose of operating the marketplace, including display on partner storefronts and promotional materials.

7. Compliance

Merchants must comply with all applicable local, state, national, and international laws and regulations. This includes but is not limited to consumer protection laws, product safety regulations, export controls, and intellectual property laws. Violation of compliance requirements may result in immediate account suspension.

8. Term & Termination

This Agreement is effective upon account creation and continues until terminated. Either party may terminate with 30 days written notice. Upon termination, Lesuto will process any remaining payouts for fulfilled orders after the applicable return window. Account data will be available for export for 90 days after termination.

9. Limitation of Liability

To the maximum extent permitted by law, Lesuto's total liability under this Agreement shall not exceed the total fees paid by Merchant to Lesuto in the twelve (12) months preceding the claim. Lesuto shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
